Result of Annual General Meeting

Guangdong Development Fund Limited ("the Company") announces that, at the Annual
General Meeting of the Company held on 15 June 2005, all of the resolutions put
to the meeting were duly passed.



A final dividend of USD1 cent per share will be paid on 29 June 2005 to
shareholders in the Company whose names appear on the register of members on 15
June 2005.



On 15 June 2005, Mr. Kin Chan was appointed as Chairman of the Company with
immediate effect.
