Issue of Shares, Total Voting Rights and Director Shareholding

Energy XXI announces today that it expects to issue the following US $0.005 common stock ("Shares") by an issue of new Shares as a result of the employee purchases under its employee stock purchase plan (ESPP), as well as a result of the vesting of employee restricted stock units (RSUs) and performance based units (PBUs).

July 2014 - 49,032 Shares (January 1, 2014- June 30, 2014 ESPP)

July and August 2014 - 152,919 Shares (June and July 2014 RSU and PBU vesting)

Included in the totals above are estimated Shares agreed to be issued to the Company's Chairman and Chief Executive Officer, John D. Schiller, Jr., under the ESPP and vesting of PBUs.

Follows is a summary of Mr. Schiller's estimated Share ownership:
