                   Notification of Directors' Interest

Andrews  Sykes Group plc was notified on 19 March 1999 that the  Trustee
of  the  Andrews  Sykes  Group  plc 1998  Employees  Share  Option  Plan
purchased 5,000 Ordinary 20p shares at 150p per share.  The Company  has
today  been notified by the Trustee that the 1998 Employees Share Option
Plan  has  purchased  a further 5,000 Ordinary 20p shares  at  155p  per
share.   Following  these purchases the holding of the  Employees  Share
Option  Plan  is 10,000 Ordinary 20p shares representing 0.012%  of  the
Company's issued share capital.

The following directors are potential beneficiaries under the Scheme and
therefore are deemed to have acquired a non-beneficial interest in these
shares.

The shares are registered in the name of Worthy Trust Company Limited
