Directors Shareholding

The Company was notified on 30 January 2002 that on 14 August 2001, Mr Jean
Jacques Murray assigned the voting rights over 1,861,277 ordinary shares to Mr
Jacques Gaston Murray, Chairman of the Company. Consequently, Mr Jacques Gaston
Murray now has an interest in 51,315,257 Andrews Sykes ordinary shares
representing 69.88% of the Company's issued share capital. Mr Jean Jacques
Murray now has an interest in 245,000 Andrews Sykes ordinary shares representing
0.33% of the Company's issued share capital.
