NOTICE TO NOTEHOLDERS

NOTICE IS HEREBY GIVEN THAT on 23 December 2019 the Issuer made certain amendments to each Issuer Currency Swap Agreement, the Funding 1 Currency Swap Agreement, the Funding 1 Bank Account Agreement, the Issuer Bank Account Agreement, and the Mortgages Trustee Bank Account Agreement (the "Amendments"), in each case to comply with, implement and/or reflect (as applicable) updates to the applicable rating criteria of Fitch (which were updated on 1 August 2018), Moody's (which were updated on 29 January 2019) and S&P (which were updated on 8 March 2019) in respect of the Mortgages trustee account bank, the Funding 1 account bank, the Issuer account bank, the Funding 1 swap provider, and the Issuer swap provider. The Amendments include, among other things, updating (i) the S&P ratings triggers framework with respect to the replacement of the Funding 1 swap provider and/or the Issuer swap provider and (ii) the Fitch and Moody's deposit ratings triggers and the Fitch, Moody's and S&P time periods with respect to replacement of the Mortgages trustee account bank, the Funding 1 account bank, and/or the Issuer account bank (as applicable).
