Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 23, 2019, the Company issued a press release announcing that Michael Pelletier joined Veritas Farms as its Chief Financial Officer. The following is a brief description of the background and business experience of Mr. Pelletier.

Michael Pelletier , 57, has over 35 years of experience in accounting and financial reporting, most recently as Chief Financial Officer of Inter-Continental Cigar Corp., a South Florida-based global cigar manufacturing and distribution firm, for over 20 years, from 1997 until joining the Company. Other positions occupied by Mr. Pelletier include, Assistant Controller of Gold Coast Media, a Miami-based direct marketing firm from 1995 to 1997 and Controller – Southeast for Hunter Douglas, Inc., a leader in the window covering industry from 1990 to 1995. Mr. Pelletier holds a Bachelor of Business Administration degree from Florida Atlantic University.

We granted Mr. Pelletier a stock option under our 2017 Incentive Stock Plan to purchase 100,000 shares of our common stock at an exercise price of $0.645 per share. The option vests in three (3) annual installments commencing one (1) year from the date of grant and is contingent upon his continued service with the Company.
