The Company is unable to file its annual report on form 10-K for the fiscal year ended September 30, 2018 (the “Annual Report”) by the prescribed filing date without unreasonable effort or expense because the Company needs additional time to complete certain capital transactions, that could have an impact on its financial statements and related disclosures to be included in the Annual Report. The Company expects to file the Annual Report on or before the fifteenth calendar day following the prescribed due date, as permitted by Rule 12b-25.
