Item 8.01. Other Events.

On December 7, 2020, Sollensys Corp. (the “Company”) announced the acquisition of Login Custom Software, LLC, a technology, consulting, engineering and custom software development company. On December 11, 2020, the Company announced that, due to certain legal restrictions, the transaction as contemplated is not capable of being consummated. Accordingly, the parties have agreed to terminate the related transaction documents and will investigate alternative structures.
