Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On November 9, 2022, Max Hooper submitted his resignation as a member of the Board of Directors (the “Board”) of Simplicity Esports and Gaming Company (the “Company”), effective immediately. Mr. Hooper’s resignation was not because of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Following Mr. Hooper’s resignation, the Board consists of the following members: Roman Franklin, Edward Leonard Jaroski, and William H. Herrmann, Jr. Mr. Franklin is the Company’s Chief Executive Officer and principal financial officer. Messrs. Jaroski and Herrmann are independent, as such term is defined in the rules of the Nasdaq Capital Market and the NYSE American, the Sarbanes-Oxley Act of 2002, as amended, and related rules of the Securities and Exchange Commission.
