Samsara Luggage, Inc. (the “Company”) has not finalized its financial statements for the period ended December 31, 2021, nor have the Company’s certifying auditors had the opportunity to complete their audit of the financial statements to be included in the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2021 (the “Form 10-K”). Accordingly, the Company cannot complete and file the Form 10-K by the due date of March 31, 2022 and needs additional time to finalize its audited financial statements, but expects the audit of the financial statements will be completed and the Form 10-K to be filed as soon as possible, on or prior to the fifteenth calendar day following the prescribed due date.
