Item 1.01 Entry into a Material Definitive
Agreement.
In connection
with the previously-announced settlement agreement with regard to the arbitration proceeding relating to the sale on March
31, 2016 by Rennova Health, Inc. (the “Company”) of certain disputed accounts receivable, Christopher Diamantis,
a director of the Company, on behalf of the Company made the initial required payment pursuant to the settlement agreement
of $2,000,000 payable on April 5, 2019. Under the settlement agreement, the Company is now obligated to repay Mr. Diamantis
this amount.
