Explanation of Responses:
(1)	Represents a pro-rata in-kind distribution, and not a purchase or sale, of the Issuer's shares, by TMDI (defined in Footnote 2), to its shareholders without consideration.
(2)	Shares are held by Texas MDI, Inc. (TMDI). Donal R. Schmidt Jr. is the founder and President of TMDI, and has voting and dispositive control over the shares of the Issuer's common stock held by TMDI.
(3)	Represents a change in the form of ownership of the shares of the Issuer by virtue of the receipt of shares as a result of the pro-rata in-kind distribution of common stock of the Issuer for no consideration by TMDI.
(4)	Shares are held by Diamond Head Ventures, LLC (Diamond). Donal R. Schmidt Jr. is the Managing Member of Diamond, and has voting and dispositive control over the shares of the Issuer's common stock held by Diamond.
