Item 1.01. Entry into a Material Definitive Agreement.

See Item. 5.02 of this report.

Item 3.02. Unregistered Sale of Equity Securities.

The Company relied upon the exemption provided by Section 4(a)(2) of the Securities Act of 1933 in connection with the issuance of common stock to Matthew Gregarek, David Burcham and Daniel Garza, as explained in Item 5.02 of this report. The persons who acquired these securities were sophisticated investors and were provided full information regarding the Company's business and operations. There was no general solicitation in connection with the offer or sale of these securities. The persons who acquired these securities acquired them for their own accounts. The certificates representing these securities will bear a restricted legend providing that they cannot be sold except pursuant to an effective registration statement or an exemption from registration. No commission was paid to any person in connection with the sale of these securities.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In May 2020, the Company entered into two-year employment agreements with Matthew Gregarek, the Company's Chairman and Chief Executive Officer, David Burcham, the Company's President, and Daniel Garza, the Company's Chief Marketing Officer.

The employment agreement with Mr. Gregarek (dated May 11, 2020) provides for:

o a signing bonus of $100,000;

o a base salary of $175,000 per year, payable in equal monthly installments;

The employment agreement with Mr. Burcham (dated May 14, 2020) provides for:

o a signing bonus of $50,000;

o a base salary of $150,000 per year, payable in equal monthly installments;

The employment agreement with Mr. Garza (dated May 14, 2020) provides for:

o a signing bonus of $75,000;

o a base salary of $150,000 per year, payable in equal monthly installments;

Each employment agreement provides that the signing bonus can be deferred until the Company is generating sufficient revenue. Each employment agreement also provides for the award of shares of the Company's restricted common stock and options to purchase shares of the Company's common stock.
