Item 7.01 Regulation FD Disclosure

On December 23, 2021, the Company issued a press release announcing that it would be spinning-off its wholly owned subsidiary, Markets on Main, LLC as a stock dividend to shareholders of the Company. The Record Date and ratio for the spin-off wil be announced in mid-January 2022.
