Item
8.01 Other Events.
On
February 3, 2023, we executed a channel/referral agreement with
Enerwise Global Technologies, LLC d/b/a CPower (“CPower”;
https://cpowerenergymanagement.com/)
to offer EnerWise Site Optimization, Demand Response, Energy
Efficiency, Distributed Generation, Energy Storage, and Peak Demand
Management to our existing 200 K12 school districts in Ohio,
Pennsylvania and West Virginia and to customers of planned
acquisitions in education technology, healthcare, and
municipalities with operations across the United States. We believe
the CPower offerings support our existing business plans in clean
technology within our wholly owned subsidiary Energy Intelligence
Center LLC d/b/a CleanSolution Technologies (“CST”; https://www.cleansolutiontech.com/).
