Item
1.01 Entry into a Material Definitive Agreement.
On
January 12, 2023, we signed a short-term unsecured financing
agreement that netted us $95,000 on closing which occurred January
17, 2023. We can benefit from payment discounts based on early
retirement of the loan through an addendum signed January 13, 2023.
There is no equity component to the loan or dilution to
shareholders. A copy of the Financing Agreement and Early Prepay
Addendum are included herein as Exhibits 10.1 and 10.2.
