Item 5.03 Amendment to Articles of Incorporation.

n June 8, 2022, following approval by the Company’s Board of Directors and a majority of the outstanding voting stock of the Company, the Company filed Fourth Amended and Restated Articles of Incorporation with the State of Nevada reflecting an increase in the Company’s authorized common stock from 2,000,000,000 shares at $0.0001 par value per share to 5,000,000,000 shares at $0.0001 par value per share, effective June 9, 2022. The Fourth Amended and Restated Articles of Incorporation are filed herewith as Exhibit 3.1.
