Item 8.01 Other Events.

On July 18, 2022, the Registrant notified FINRA that it was no longer pursuing the Change in Corporate Actions, involving a name change, trading symbol change and reverse split of its common stock, as the Registrant determined that it was not in the best interests of the Registrant at this time.

On August 16, 2022, the Registrant filed a Request to Withdraw the previously filed Offering Statement on Form 1-A, as amended, as it had determined that it was not in the best interest of the Registrant to continue with the Offering at this time.
