State below in reasonable detail the reasons why Form 10-K, 20-F, 11-K, 10-Q, N-SAR, or the transition report or portion thereof could not be filed within the prescribed period.

 

The process of compiling and disseminating the information required to be included in the Form 10-K for the year ended December 31, 2014 as well as the completion of the Company’s financial information, could not be completed without incurring undue hardship and expense, due to the retaining of a new consultant to prepare and complete the Report and work with the independent auditors.  The registrant will file the quarterly report on or before April 15, 2015.
