Stakeholder Gold Corp. ("Stakeholder")(TSX VENTURE:SRC) announces the
appointment of Union Securities Ltd. ("Union") to act as its agent, on a
commercially reasonable basis, to offer, by way of a brokered private placement,
7,058,824 units (the "Units") at a price of $0.085 per Unit and 7,058,824
flow-through units (the "FT Units") at a price of $0.085 per FT Unit for
aggregate total gross proceeds of up to $1,200,000 (the "Offering").  


Each Unit will consist of one common share and one common share purchase warrant
(a "Warrant") and each FT Unit will consist of one flow-through common share and
one-half of one Warrant. Each whole Warrant in both the Units and FT Units will
entitle the holder to acquire, upon exercise, one common share at a price of
$0.20 per share for a period of 18 months from the closing date of the Offering.
 


The securities sold under the Offering will be issued pursuant to exemptions
from the prospectus requirements of applicable securities laws, subject to the
receipt of necessary regulatory approvals and to a four month hold period from
closing. The proceeds from the Offering will be used by Stakeholder for general
working capital and to conduct exploration work on its properties. Agency fees
will be payable according to TSX Venture Exchange guidelines.  


Stakeholder's securities will not be registered under the United States
Securities Act of 1933, as amended (the "U.S. Securities Act"), or applicable
state securities laws, and may not be offered or sold in the United States or to
"U.S. persons", as such term is defined in Regulation S promulgated under the
U.S. Securities Act, absent registration or an applicable exemption from such
registration requirements.
