Explanation of Responses:
(1)  Restricted stock unit award granted under the Vapotherm, Inc. Amended and Restated 2018 Equity Incentive Plan in lieu of director cash retainers for 2023. The restricted stock unit award will vest in four nearly equal installments on each of March 31, 2023, June 30, 2023, September 30, 2023 and December 31, 2023.
