Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 13, 2023, Thermo Fisher Scientific Inc. (the “Company”) filed a Current Report on Form 8-K to announce the election of Jennifer “Jenny” Johnson as a director of the Company. At the time of such filing, the Board of Directors had not yet determined committee assignments for Ms. Johnson. On September 21, 2023, the Board of Directors appointed Ms. Johnson to the Audit Committee, effective as of that date.
