Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On July 20, 2020, the Board of Directors (the "Board") of Tanger Factory Outlet Centers, Inc. (the "Company"), increased the number of directors from seven to eight and elected Stephen Yalof, the Company's President and Chief Operating Officer, to the Board per the terms of his employment agreement with the Company. Mr. Yalof will not be paid any director fees for his services as a director of the Company, which is consistent with our current CEO's arrangement as a director of the Company.
Mr. Yalof will serve as a director until the next annual meeting of shareholders or until his successor is elected and qualified. Mr. Yalof has not been named to serve on any of the Board's committees at this time.
