On September 4, 2020, Ms. Nancy Newcomb, a member of the Board of Directors (the “Board”) of Sysco Corporation (“Sysco”), informed the Board that she would not stand for reelection at Sysco’s next annual meeting of stockholders scheduled to be held on November 20, 2020. Ms. Newcomb’s resignation was not due to any disagreement with Sysco on any matters relating to Sysco’s operations, policies or practices.
