Item 1.01

Entry into a Material Definitive Agreement.

On October 2, 2020, STERIS plc (“STERIS”), as “Guarantor”, entered into a Purchase Agreement (the “Purchase Agreement”) with KS Holdings LLC (“KS Holdings”), Key Surgical Shareholders LLC (“KS Shareholders”), Key Surgical Management LLC (together with KS Holdings and KS Shareholders, the “Unit Sellers”), WSHP KS Investment LLC (together with the Unit Sellers, the “Sellers”), Key Surgical LLC (the “Company” or “Key Surgical”), STERIS Corporation (the “Purchaser”), and Brian O’Connell and Scot Milchman (the “Restricted Parties”). The Purchase Agreement provides that, upon the terms and subject to the conditions set forth therein, STERIS, through the Purchaser, its indirect wholly-owned subsidiary, will acquire all of the outstanding units and equity of the Company (the “Transaction”). The Company is a portfolio company of Water Street Healthcare Partners, LLC and is a global provider of sterile processing, operating room and endoscopy consumable products serving hospitals and surgical facilities.

The purchase price for the Transaction is $850.0 million in cash, or approximately $810.0 million net of tax benefits, subject to customary adjustments. STERIS is not assuming any Company debt, and intends to fund the purchase through a combination of debt and cash on hand.

The Purchase Agreement provides for customary representations, warranties, covenants and agreements. The Purchase Agreement also imposes customary confidentiality, non-solicitation and non-compete obligations upon the Sellers and the Restricted Parties. The Purchase Agreement provides STERIS and the Sellers with certain termination rights. The completion of the Transaction is subject to the satisfaction or waiver of a number of customary conditions, including receipt of requisite Hart-Scott-Rodino Act approvals.
