Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 13, 2021, Thomas M. Nealon, President of Southwest Airlines Co. (the “Company”), submitted his resignation from the Company, effective September 13, 2021. In connection with Mr. Nealon’s resignation, the Board of Directors of the Company unanimously elected Michael G. Van de Ven to succeed to the position of President, effective September 13, 2021. Mr. Van de Ven will also retain his role as the Company’s Chief Operating Officer.

Mr. Van de Ven, 59, has served as the Company's Chief Operating Officer since May 2008. Mr. Van de Ven also served as Executive Vice President & Chief Operating Officer from May 2008 to January 2017, Chief of Operations from September 2006 to May 2008, Executive Vice President Aircraft Operations from November 2005 through August 2006, Senior Vice President Planning from August 2004 to November 2005, Vice President Financial Planning & Analysis from 2001 to 2004, Senior Director Financial Planning & Analysis from 2000 to 2001, and Director Financial Planning & Analysis from 1997 to 2000. Mr. Van de Ven joined the Company in 1993 as its Director Internal Audit.

The Company has not entered into, amended, or modified any plan, contract, arrangement, grant, or award in connection with the Board’s election of Mr. Van de Ven to serve as President. There are no family relationships between any director or executive officer of the Company and Mr. Van de Ven. In addition, Mr. Van de Ven does not have any relationship requiring disclosure under Item 404 of Regulation S-K, nor is he a party to any arrangement or understanding with any other person pursuant to which he was selected as President.
