Explanation of Responses:
(1) Represents shares issuable on settlement of restricted stock units ("RSUs") granted to the reporting person. Each RSU represents a contingent right to receive one share of Issuer's Class A Common Stock. 30,625 of these RSUs shall vest in equal quarterly installments during the 12-month period of the reporting person's continuous service from December 15, 2023, and the remaining 26,367 of these RSUs shall vest in equal quarterly installments during the 12-month period of the reporting person's continuous service from December 15, 2024. If the reporting person dies while in continuous service, 100% of the RSUs will be deemed fully vested immediately.
(2) Includes 160 shares held by certain immediate family members of the reporting person for which the reporting person disclaims beneficial ownership except as to the reporting person's indirect pecuniary interest therein, if any. The remaining shares are held by an entity or entities in which the reporting person retains investment power over such shares.
