Item 2.01    Completion of Acquisition or Disposition of Assets

On August 19, 2022, Sterling Jewelers Inc., a Delaware corporation and a wholly-owned subsidiary of Signet Jewelers Limited, a Bermuda corporation (the “Company”), acquired all of the issued and outstanding shares of BC Cyan Investment Holdings Inc., a Delaware corporation (the “Transaction”). The Transaction was consummated pursuant to the terms and conditions of a Stock Purchase Agreement, dated as of August 5, 2022 (the “Agreement”), which Agreement was previously disclosed by the Company in a Current Report on Form 8-K filed with the Securities and Exchange Commission on August 9, 2022.

This Current Report on Form 8-K incorporates herein by reference the disclosure contained within Item 1.01 of the Current Report on Form 8-K that was filed with the Securities and Exchange Commission on August 9, 2022, as well as the full text of the Agreement, which will be filed with the Company’s next quarterly report on Form 10-Q.
