DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS;
COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

Effective August 21, 2019, Jeffrey A. Hearn resigned from his position as a
director of Resolute Forest Product Inc.s (the Companys) Board of Directors (the Board), and as a member and chair of the Boards Environmental, Health and Safety Committee. Mr. Hearns resignation
was not the result of any disagreement with the Company, any matter related to the Companys operations, policies or practices, the Companys management or the Board. As a result of Mr. Hearns resignation, the Board
has determined to reduce the size of the board of directors to eight members. Suzanne Blanchet has been appointed to chair the Boards Environmental, Health and Safety Committee.
