ITEM 5.02

DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

Effective August 21, 2019, Jeffrey A. Hearn resigned from his position as a director of Resolute Forest Product Inc.’s (the “Company’s”) Board of Directors (the “Board”), and as a member and chair of the Board’s Environmental, Health and Safety Committee. Mr. Hearn’s resignation was not the result of any disagreement with the Company, any matter related to the Company’s operations, policies or practices, the Company’s management or the Board. As a result of Mr. Hearn’s resignation, the Board has determined to reduce the size of the board of directors to eight members. Suzanne Blanchet has been appointed to chair the Board’s Environmental, Health and Safety Committee.
