(1)	As a result of the spin-off of the issuer by UTC, Otis shares are now held in the UTC Employee Savings Plan by insiders who held UTC shares in their plan accounts. The UTC Employee Savings Plan has advised participants that starting approximately one-year after the spin-off it will mandatorily start to sell the Otis shares.
