Item 2.02 Results of Operations and Financial Condition.

On October 20, 2020, Ocwen Financial Corporation (“Ocwen” or the “Company”) issued a press release announcing preliminary results for the third quarter ended September 30, 2020 and providing a business update. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
