Explanation of Responses:
(1)	Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of the Company's common stock pursuant to the NiSource Inc. 2020 Omnibus Incentive Plan. Subject to certain forfeiture conditions, the RSUs will 100% vest on February 28, 2023 provided that the reporting person is continuously employed by the Company through and including that date.
(2)	Constitutes shares acquired through the NiSource Inc. Retirement Savings Plan through August 10, 2020.
