Explanation of Responses:
(1)  Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of New Jersey Resources ("NJR") common stock plus dividend equivalents.
(2)  Reporting person has elected to defer issuance of shares of this RSU award upon vesting pursuant to the NJR Directors' Deferred Compensation Plan. Vested shares and dividend equivalents will be paid out in a single sum payment beginning the first day of the second month of the calendar quarter following the calendar quarter in which the reporting person ceases to be a Director.
(3)  The RSU award will vest in full on the earlier of (i) the first anniversary of the date of grant, or (ii) the date of the next NJR Annual Meeting of Shareowners.
