Explanation of Responses:
(1)	On May 5, 2020 the reporting person was granted 10,557 restricted stock units, vesting in three equal annual installments on May 5, 2021, May 5, 2022 and May 5, 2023, subject to the reporting person's provision of services to the Issuer on such vesting dates. Shares of the Issuer's Common Stock will be delivered to the Reporting Person following vesting.
(2)	Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's Common Stock upon settlement for no consideration.
(3)	On February 16, 2021 the reporting person was granted 417 restricted stock units, vesting in three equal annual installments on February 16, 2022, February 16, 2023, and February 16, 2024, subject to the reporting person's provision of services to the Issuer on such vesting dates. Shares of the Issuer's Common Stock will be delivered to the Reporting Person following vesting.
(4)	On May 14, 2021 the reporting person was granted 1,321 restricted stock units, vesting in three equal annual installments on May 14, 2022, May 14, 2023 and May 14, 2024, subject to the reporting person's provision of services to the Issuer on such vesting dates. Shares of the Issuer's Common Stock will be delivered to the Reporting Person following vesting.
(5)	On June 14, 2021 the reporting person was granted 3,000 restricted stock units, vesting in three equal annual installments on June 14, 2022, June 14, 2023 and June 14, 2024, subject to the reporting person's provision of services to the Issuer on such vesting dates. Shares of the Issuer's Common Stock will be delivered to the Reporting Person following vesting.
