Section 1 – Conflict Minerals Disclosure
Items 1.01. Conflict Minerals Disclosure and Report.
Pursuant to Rule 13p-1 under the Securities Exchange Act of 1934, as amended, and Form SD, the Conflict Minerals Report (the “Report”) of MDU Resources Group, Inc. (the “Company”) is provided as Exhibit 1.01 to this Form SD. The Report is also publicly available at mdu.com/about-us/integrity, but the contents of that site are not incorporated by reference into, and are not otherwise a part of, this Form SD.
On October 31, 2024, the Company completed the separation of Everus Construction Group, Inc., the Company’s former construction services business (“Everus”), from the Company, resulting in Everus becoming an independent, publicly-traded company (the “Separation”). Following the Separation, the Company no longer manufactures or contracts to manufacture any products required to be reported on Form SD. As a result, this Form SD covers products manufactured or contracted for manufacture by the Company from January 1, 2024 through October 31, 2024.
While the Company does not currently expect to have any further filing obligations on Form SD with respect to Everus’ operations or otherwise, the Company will continue to monitor any future obligations it may have under Rule 13p-1 under the Securities Exchange Act of 1934, as amended, with respect to conflict minerals, whether such obligations arise due to future acquisitions, changes in business operations or other circumstances.

Conflict Minerals Report
For the Year Ended December 31, 2024
Introduction
On October 31, 2024, MDU Resources Group, Inc. (the “Company”) completed the separation of Everus Construction Group, Inc., the Company’s former construction services business (“Everus”), from the Company, resulting in Everus becoming an independent, publicly-traded company (the “Separation”). Following the Separation, the Company no longer manufactures or contracts to manufacture any products required to be reported on Form SD. As a result, this Conflict Minerals Report (this “Report”) has been prepared pursuant to Rule 13p-1 (the “Rule”) under the Securities Exchange Act of 1934, as amended, for the reporting period from January 1 through October 31, 2024.
This Report relates to the process undertaken by the Company and Everus, as applicable, with respect to products that were manufactured, or contracted to be manufactured, during calendar year 2024, prior to the completion of the Separation, and that contain cassiterite, columbite-tantalite, gold, wolframite, and their derivatives, which are limited to tin, tantalum, and tungsten for purposes of this Report (collectively, “Conflict Minerals”). Certain information in this Report was provided to the Company by Everus pursuant to the Transition Services Agreement, dated as of October 31, 2024, by and between the Company and Everus that was entered into in connection with the Separation.
Third-party products that the Company or Everus, as applicable, sold but did not manufacture or contract to manufacture are outside the scope of this Report.
Company and Products Overview
Prior to the Separation, Everus, through its wholly-owned subsidiary Everus Construction, Inc. (“Everus Construction”), provided electrical and mechanical and transmission and distribution contracting services. Everus Construction, and through its wholly-owned subsidiary Wagner-Smith Equipment Co., manufactured construction equipment consisting of electric transmission line pullers, tensioners, reel stands, reel carriers, and electric transmission pole and material trailers (the “Construction Equipment”).
Based upon the Company’s internal assessment, certain of the Construction Equipment products that were either manufactured or contracted to be manufactured by Everus Construction contained Conflict Minerals that may be necessary to the functionality of the product.
Conflict Minerals Program
The Company’s Conflict Minerals program has been developed in conformity with the Organisation for Economic Co-operation and Development Due Diligence Guidance for Responsible Supply Chains of Minerals from Conflict-Affected and High-Risk Areas (Third Edition), and related Supplement on Tin, Tantalum, Tungsten, and Supplement on Gold (collectively, the “OECD Guidance”), specifically as it related to Everus' position in the minerals supply chain as a “downstream” purchaser.
Reasonable Country of Origin Inquiry
Everus has conducted a reasonable country of origin inquiry (“RCOI”) regarding the Conflict Minerals purchased by Everus prior to the Separation that was reasonably designed to determine whether any such Conflict Minerals originated in the Democratic Republic of the Congo or adjoining countries (collectively, the “Covered Countries”) or were from recycled or scrap sources. Everus identified 81 suppliers that provided components or engaged in manufacturing activities for use in the Construction Equipment products that may contain Conflict Minerals during calendar year 2024 prior to the Separation. In February 2025,
Everus contacted these suppliers and provided them with a copy of its Conflict Minerals Policy, the Responsible Minerals Initiative (“RMI”), Conflict Minerals Reporting Template (the “Template”), and an instructional letter to assist them in completing their responses. The Template included questions regarding a supplier’s applicable policy, engagement with its direct suppliers, and a listing of the smelters and refiners the supplier and its suppliers use. In addition, the Template contained questions about the origin of Conflict Minerals included in the supplier’s products, as well as the supplier’s due diligence processes. Everus requested responses by April 1, 2025, and conducted multiple follow-ups by email with the suppliers that did not respond to the initial request.
Design of Due Diligence
Everus' Conflict Minerals due diligence measures have been designed to conform to the due diligence-related steps of the OECD Guidance, as applicable for a “downstream” purchaser.
Due Diligence Measures Performed
Below is a description of the measures performed to exercise due diligence on the source and chain of custody of the necessary Conflict Minerals contained in the Construction Equipment.
•Suppliers were sent a letter that included a copy of Everus’ Corporate Conflict Minerals Policy, the RMI, the Template, and instructions, and requested that they complete and return the Template.
•Suppliers were requested to adopt and communicate their Conflict Minerals policies and sourcing expectation to their suppliers and request that they complete the Template.
•Follow up by written correspondence with suppliers that failed to complete and return the Template and solicited additional information was conducted.
•All received supplier Templates were reviewed for completeness. Suppliers that did not provide complete information or provided information that was identified as potentially inaccurate were requested to take corrective actions and update their Template responses.
•Smelters identified in supplier Templates were compared against the list of smelters that have committed to undergo a Responsible Minerals Assurance Process (“RMAP”) audit by RMI and the list of smelters that have received a “conformant” designation under the RMAP.
•The Company made its Conflict Minerals Report available on its website at mdu.com/about-us/integrity.
Due Diligence Results
For reporting year 2024, through the Separation, 81 suppliers of materials for the Construction Equipment were surveyed using the Template. Of the suppliers surveyed, 73% (59 suppliers) responded to the request for information. Each of the Company and Everus has relied on these suppliers’ responses to provide information about the source of Conflict Minerals contained in the components supplied. The direct suppliers’ responses are similarly reliant upon information provided by their suppliers.
As the result of this due diligence, 397 smelter names were gathered from Everus' supply chain. See Annex 1 for the names and locations of such smelters. Of these, 239 smelters have been designated as conformant under the RMAP. An additional 9 are active facilities that have committed to undergo a RMAP audit. The 149 remaining reported smelters have been determined to be legitimate processing facilities by the RMI and have been allocated a Smelter Identification CID number.
Everus requested mine or location of origin information for the necessary Conflict Minerals from each supplier using the Template. Many of these suppliers were unable to obtain reliable mine or location-of-origin data for their necessary Conflict Minerals.
Six smelters, including Luna Smelter, Ltd., PowerX Ltd., and Gasabo Gold Refinery LTD in Rwanda, Mining Minerals Resources SARL in the Democratic Republic of the Congo, Woodcross Smelting Company Limited, and African Gold Refinery in Uganda, were identified by some of our suppliers as having its location in a Covered Country. Luna Smelter, Ltd., PowerX Ltd., and Mining Minerals Resources SARL are listed as conformant smelters by the RMI, while African Gold Refinery and Gasabo Gold Refinery LTD is not currently listed as a conformant or active facility by the RMI.
Determination
Based on these due diligence efforts, neither the Company nor Everus has sufficient information to conclusively determine the countries of origin of the Conflict Minerals in the Construction Equipment or whether the Conflict Minerals are from recycled or scrap sources. On the basis of the due diligence measures described in this Report, each of the Company and Everus is unable to rule out that some of the Conflict Minerals used in the Construction Equipment products may have originated in the Covered Countries and are not from recycled or scrap sources, but neither the Company nor Everus has identified any instances in which the sourcing of necessary Conflict Minerals directly or indirectly financed or benefited armed groups in the Covered Countries.
The Company has provided information as of the date of this Report. Subsequent events may affect the Company’s future determinations under the Rule.
Future Due Diligence Measures
While the Company does not currently expect to have any further filing obligations on Form SD with respect to Everus’ operations or otherwise, the Company will continue to monitor any future obligations it may have under the Rule with respect to Conflict Minerals, whether such obligations arise due to future acquisitions, changes in business operations or other circumstances.
