Explanation of Responses:
(1) These restricted share units were granted under the Issuer's Long Term Incentive Plan (the "Plan") and are scheduled to vest 100% on the earlier of June 9, 2023, or the day immediately preceding the date of the Issuer's first annual shareholder meeting following the date of grant, subject to the terms of the Plan and the applicable award agreement issued thereunder.
(2) These shares were issued under the Plan in lieu of the aggregate amount of the Annual Cash Retainer payable for service on the Board of Directors during the period from July 1, 2022 to December 31, 2022. These shares are fully-vested and unrestricted, subject to the terms of the Plan and the applicable award agreement issued thereunder.
