Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 31, 2019, Donald S. Gottwald, Chief Strategy Officer and President of Digital, Data and Mobility Solutions of KAR Auction Services, Inc. (the “Company”), notified the Company that he is resigning from his positions at the Company. The resignation will be effective April 3, 2020. Mr. Gottwald’s resignation complied with sections 5(a) and 5(b) of the second amendment to Mr. Gottwald’s employment agreement as well as section 4(c) of Mr. Gottwald’s employment agreement, entitling him to the severance benefits described in his employment agreement in effect as of December 31, 2018.
