Explanation of Responses:
(1)	The reporting person received a phantom restricted stock unit subject to a three-year vesting schedule, vesting 1/3 on the first anniversary of the date of grant, 1/3 on the second anniversary of the date of grant and 1/3 on the third anniversary of the date of grant. Each unit is the economic equivalant of one share of common stock. ICD will settle vested phantom RSU's in cash within 30 days of the date that such RSU vests.
(2)	(2)The reporting person holds a restricted stock unit award, subject to a three-year vesting schedule, vesting 1/3 on the first anniversary of the date of grant, 1/3 on the second anniversary of the date of grant, and 1/3 on the third anniversary of the date of grant.
