Xerox Holdings Corp. Monday said it has added a 12th nominee to its proposed HP Inc. board slate following the move by its takeover target to add another director.

The Norwalk, Conn., printer and copier company said Erroll Davis Jr., the former chairman and chief executive of Alliant Energy Corp., joins its 11 previous nominees to HP's board.

Xerox, which has launched a hostile tender offer for larger rival HP, also plans to wage a proxy battle for control of the Palo Alto, Calif., company's board

HP in late February named tech veteran Rick Clemmer to its board and gave Xerox notice that it had 10 days to nominate an additional candidate.

Xerox on Monday said it is filing a preliminary proxy statement with the Securities and Exchange Commission in support of its slate of independent candidates to replace the HP board.
