(1)	Amount beneficially owned following the reported transactions includes 18,200 Common Stock Restricted Stock Units.
(2)	The price reported represents the weighted average price of the shares sold. Shares were sold at varying prices in the range of $35.0300 - $35.0650. The Reporting Person hereby undertakes, upon request of the Staff of the U.S. Securities and Exchange Commission, the issuer or a security holder of the issuer, to provide full information regarding the number of shares sold at each separate price.

Remarks: As previously reported by the Issuer in a Form 8-K filed February 4, 2021, Mr. Ford will retire as a director effective upon the expiration of his current term, which ends in connection with the Issuer's 2021 annual meeting of stockholders in June 2021.
