I am writing to share my excitement about the pending combination of our two organizations, and provide some perspective on the significant opportunities this transaction will create.

First and foremost, we have long admired Frank’s for its world-class people, their professionalism, commitment and know-how to deliver innovative and differentiated solutions. I have come to know Mike Kearney and the Frank’s leadership team even better over recent months, and this has only reinforced my belief that our two companies are a perfect fit – from our common cultures to our complementary portfolios.

Through this combination, we will bring together two companies with decades of market leadership to create a leading full-cycle service provider that is better positioned for long-term growth, success and value creation. With Frank’s and Expro’s broad range of highly specialized equipment and services, the combined company will provide customers with cost-effective, innovative solutions across the well lifecycle. Together, we will capitalize on our complementary portfolios, deep technical expertise and geographic footprint to be an even stronger partner to our customers around the world.

While we offer different services, Frank’s and Expro share the same values related to safety, service and customer focus, which were important factors in our decision to come together as one company. You – the talented employees of Frank’s – are a big part of the reason we are moving ahead with this transaction. The tireless efforts of Frank’s team around the world have helped make this combination possible and will be an important component of the combined company’s foundation for success. Looking ahead, we expect to create new and exciting opportunities for both Expro and Frank’s team members as part of a larger, stronger and more diversified global organization.

Once the transaction closes, I will lead the combined company. I am pleased that Mike Kearney will be Chairman of the Board, and look forward to his insight, support and guidance. In addition to remaining headquartered in Houston, we expect to maintain a significant operating presence in Lafayette, Louisiana and other key Frank’s locations around the world. Given your strong reputation in the industry, we will also maintain the Frank’s brand name for the combined company’s well construction solutions.
