Item 8.01. Other Events.
On July 20, 2020, Forum Energy Technologies, Inc. (the “Company”) issued a press release announcing the early results for its offer to exchange (the “Exchange Offer”) its outstanding 6.250% Senior Notes due 2021 (the “Old Notes”) for newly issued 9.000% Convertible Senior Secured Notes due 2025, as well as its solicitation of consents to proposed amendments with respect to the Old Notes (the “Consent Solicitation”).
The Company also announced that it is extending the Early Tender Time and Consent Time (each as defined in the Company’s registration statement (the “Registration Statement”) on Form S-4, including a preliminary prospectus, which is subject to change, filed July 6, 2020 by the Company with the Securities and Exchange Commission, which registration statement is not yet effective) of its Exchange Offer and Consent Solicitation. Accordingly, the Early Tender Time and Consent Time will occur at the same time the Exchange Offer is scheduled to expire immediately after 11:59 P.M., New York City time, on July 31, 2020, unless extended or earlier terminated by the Company in its sole discretion.
