Item 1.01

Entry into a Material Definitive Agreement.

On February 8, 2019, Fortress Transportation and Infrastructure Investors LLC, a Delaware limited liability company (the “ Company ” ), entered into Amendment No. 2 (the “ Amendment ”) to the Credit Agreement dated as of June 16, 2017 (as amended by Amendment No. 1 dated as of August 2, 2018, the “ Existing Credit Agreement ” ), among the Company, as the borrower, JPMorgan Chase Bank, N.A., Morgan Stanley Senior Funding, Inc. and Barclays Bank PLC, as lenders and issuing banks, and JPMorgan Chase Bank, N.A., as administrative agent (in such capacity, the “ Administrative Agent ” ).

The Amendment, among other things, (i) increases the aggregate revolving commitments under the Existing Credit Agreement by $125,000,000 from $125,000,000 to $250,000,000, (ii) extends the maturity date of the revolving loans and commitments under the Existing Credit Agreement to January 31, 2022 and (iii) makes certain modifications to the financial covenants under the Existing Credit Agreement.
