Item 2.02 Results of Operations and Financial Condition.

On March 1, 2023, FiscalNote Holdings, Inc. (the “Company”) issued a press release announcing certain preliminary unaudited financial results for the fiscal year ended December 31, 2022 and initial revenue outlook for the fiscal year ended December 31, 2023. The preliminary unaudited financial results contained in the press release do not present all information needed for an understanding of the Company’s results of operations for the fiscal year ended December 31, 2022. The review of the Company’s financial statements for the fiscal year ended December 31, 2022 is ongoing and could result in changes to the information in the press release. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
