OID Tax Consequences to U.S. Holders:    Because the first accrual period on the Notes is longer than one year, the Notes will be considered to be issued with “original issue discount” (“OID”) for U.S. federal income tax purposes. As a result, any U.S. Holder of the Notes will not be taxed on the payment or accrual of stated interest, and instead will be taxed under the rules governing OID. Under such rules, a U.S. Holder will be required to include in income interest on the Notes under a constant yield method. The U.S. federal income tax treatment to non-U.S. Holders generally will not be affected.
