Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

    On July 2, 2021, Nicole M. Ringenberg (“Ms. Ringenberg”) informed Darling Ingredients Inc. (the “Company”) that she is stepping down from the Company’s Board of Directors effective July 15, 2021. Ms. Ringenberg indicated that she has no disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

The Company wishes to thank Ms. Ringenberg for her contributions to the Company during her years of service.

Ms. Ringenberg currently serves as the Chairman of the Audit Committee and as a member of the Nominating and Corporate Governance Committee. Effective as of July 15, 2021, the Board has designated current Audit Committee member Charles Adair to replace Ms. Ringenberg as the Chairman of the Audit Committee.
