Item 8.01 Other Events.

On September 4, 2019, Chegg, Inc. (the "Company") issued a press release announcing the Company's entry into a definitive agreement to acquire Thinkful, Inc. The press release also updates the Company’s guidance for the fourth quarter and full year 2019. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
