Item 2.02 Results of Operations and Financial Condition

On July 28, 2020, Bloom Energy Corporation (the "Company") announced its financial results for the second ended June 30, 2020 and issued a Letter to Shareholders and press release, copies of which are attached hereto as Exhibits 99.1 and 99.2, respectively. The Letter to Shareholders discloses certain non-GAAP financial measures. A reconciliation to the nearest comparable GAAP equivalent of these non-GAAP measures is contained in tabular form in Exhibit 99.1.
