Item 7.01 Regulation FD Disclosure.

AZZ Inc. (the "Company") has prepared presentation materials (the "Presentation Materials") that management and the Company's proxy solicitor, Innisfree M&A Incorporated, intend to use from time to time on and after June 16, 2022 in talking with shareholders, including shareholders who are employees, to solicit proxies for the Company's 2022 Annual Meeting of Shareholders to be held on July 12, 2022. A copy of the Presentation Materials is furnished as Exhibit 99.1 hereto and incorporated by reference herein.
