Item 2.02.     Results of Operations and Financial Condition.

On May 4, 2022, Amplify Energy Corp., a Delaware corporation (the “Company”), issued a press release reporting the Company’s financial and operating results for the first quarter ended March 31, 2022. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

On May 4, 2022, the Company issued a press release announcing, among other things, the Company’s financial and operating results for the first quarter ended March 31, 2022 and updating its full-year 2022 guidance.
